1. Agreement to these terms
These Terms of Service ("Terms") form a legally binding agreement between you and Subchecked ApS ("Subchecked", "we", "us") governing your use of the Subchecked platform, including the web application, mobile app, subcontractor onboarding flow, and all associated APIs and services (collectively, the "Service").
By creating an account, completing the subcontractor onboarding flow, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
If you are using the Service on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms, and references to "you" include that entity.
These Terms should be read alongside our Privacy Policy, which explains how we handle personal data.
2. The service
Subchecked is a compliance management platform for the UK construction industry. It enables main contractors ("builders") to collect, verify, and document the compliance credentials of their subcontractors before they start work on site.
The Service includes:
- A builder-facing application for managing projects, inviting subcontractors, running verification checks, and generating the Homeowner Compliance Pack
- A subcontractor onboarding flow (accessed via a unique link — no account required) for submitting compliance documents
- A subcontractor account (Free and Pro plans) for managing credentials, engagements, and profile data
- An internal admin section for Subchecked staff to manage the platform
We provide the Service as a software tool. We do not act as a compliance officer, legal adviser, HR provider, or employment agency. Subchecked is a verification and documentation tool — the legal responsibility for employing, engaging, and managing workers on your site remains with you.
3. Builder obligations
3.1 Account accuracy
You must provide accurate information when creating your builder account, including your company name, company type, and Companies House number where applicable. Providing false information is a breach of these Terms.
3.2 Project and case data
You are responsible for the accuracy of project and subcontractor case data you enter into the platform. Subchecked stores and displays the information you provide — we do not independently verify the project addresses, dates, or subcontractor contact details you enter.
3.3 Using verification bridges correctly
For CITB (CSCS card), Gas Safe register, and electrical competency scheme checks, the platform provides a WebView bridge that pre-populates the relevant register's search form. You must tap the external register's own submit button yourself. Automated form submission is not permitted under the terms of those registries and would undermine the evidential value of the check. A screenshot is captured automatically when the result loads — you must not interfere with or obstruct the screenshot capture.
3.4 Right to Work
Where Subchecked facilitates your Right to Work check (via document photograph or Home Office Share Code checker), you remain the responsible employer under the Immigration, Asylum and Nationality Act 2006. Subchecked provides the tooling to assist you in conducting the check and retaining evidence — it does not constitute the statutory check itself. You must satisfy yourself that the check was properly conducted.
3.5 HMRC CIS Government Gateway
When you connect your HMRC Government Gateway account, you authorise Subchecked to make CIS verification calls to HMRC on your behalf. You are solely responsible for acting on the deduction status returned. See section 8 for further details.
3.6 Permitted use
You may use the Service only for lawful compliance management purposes in connection with genuine construction projects. You must not use the Service to discriminate unlawfully, to harass subcontractors, or for any purpose unconnected with genuine pre-engagement compliance verification.
4. Subcontractor obligations
4.1 Terms acceptance during onboarding
Before beginning the onboarding flow, you are shown these Terms and our Privacy Policy and must confirm that you accept them. You cannot submit compliance documents without accepting. Acceptance is logged with a timestamp.
4.2 Accuracy of submitted documents
You must upload genuine, unaltered documents. Submitting false, expired, or altered credentials — including CSCS cards, insurance certificates, RTW documents, or Gas Safe/electrical registrations — is a breach of these Terms and may constitute fraud. Subchecked reserves the right to notify your contractor and, where appropriate, relevant regulatory bodies in such cases.
4.3 OCR review and correction
During onboarding, our OCR system extracts data from your documents. You are shown the extracted data and must review it before proceeding. You are responsible for correcting any errors before submission. Corrections are logged and reflected in the signed Letter of Authority.
4.4 Letter of Authority (LoA)
The LoA is your formal written consent for your insurer to disclose your policy details to your contractor and to Subchecked (who facilitates the verification). You must read the LoA before signing. The LoA email must be sent from your own registered policyholder email address — it cannot be sent on your behalf. See section 9 for further details.
4.5 Registered account users
If you register a Subchecked account, you are responsible for keeping your login credentials secure. You must not share your account access with others. You must notify us immediately at support@subchecked.co.uk if you suspect unauthorised access to your account.
4.6 Credential sharing (Pro plan)
The credential sharing feature allows you to generate a link to your verified credentials for a named recipient. You accept responsibility for the accuracy and currency of the credentials you share. You must not share credentials with recipients who are not genuinely considering engaging you for legitimate construction work. Share links expire after 7 days and can be revoked by you at any time.
5. Payments and billing
5.1 Builder project payments
Builders pay a one-time fee per project, based on the tier selected at project creation. Prices are shown inclusive and exclusive of VAT during checkout:

All prices are subject to VAT at the prevailing UK rate. Payment is processed by Stripe. A project is activated only after successful payment. Projects that fail payment are saved as drafts and can be completed once payment is resolved.
5.2 Refund policy — project payments
Project payments are non-refundable once the project has been activated and at least one subcontractor case has been created. If you believe a payment was taken in error, contact billing@subchecked.co.uk within 14 days of the charge.
If a project has been activated but no cases have been added, we will consider refund requests on a case-by-case basis within 14 days of payment.
5.3 Tier upgrades
Builders can upgrade a project from a lower tier to a higher tier once the subcontractor limit is reached. You will be charged the difference between the tiers at the time of upgrade. The additional charge is not pro-rated based on project activity.
5.4 VAT receipts
VAT receipts for all project payments are available from the Billing section of your account. Each receipt shows the ex-VAT amount, VAT amount, and total.
6. Voucher codes
Subchecked may issue promotional voucher codes that discount project payments or the Pro plan subscription. The following conditions apply to all voucher codes:
- Voucher codes are single-use per account unless explicitly stated otherwise
- Voucher codes have an expiry date and cannot be used after that date
- Voucher codes are non-transferable and have no cash value
- Subchecked reserves the right to deactivate a voucher code at any time if it believes the code is being misused or used in breach of these Terms
- A voucher code that reduces the payment to £0 does not require a payment method but must still be applied during checkout
- A voucher code is consumed only on successful project activation or Pro plan subscription creation. If payment fails, the voucher code is not consumed and may be re-applied
7. Subcontractor Pro plan subscription
The Subchecked Pro plan is a monthly subscription for subcontractors. The current price is £5 + VAT per month. During the launch period, the plan may be available at no cost via a promotional offer — Subchecked will provide reasonable advance notice before any transition to paid billing.
7.1 What the Pro plan includes
- A persistent credential vault — documents uploaded once are stored and available for future engagements without re-upload
- Credential expiry alerts
- Credential sharing (send a read-only link to verified credentials to a prospective contractor)
- Priority insurer response handling (ambiguous responses reviewed by Subchecked staff)
- Directory listing when the Verified Tradesman Directory launches (Phase 2)
7.2 Cancellation
You may cancel your Pro plan at any time from the Plan section of your account. Cancellation takes effect at the end of the current billing period. You will retain Pro plan access until the end of the period for which you have paid. We do not offer partial refunds for unused days in a billing period.
7.3 Plan downgrade
On cancellation, your account reverts to the Free plan. Your credential vault is retained and remains viewable, but vault data cannot be updated or shared until you reactivate a Pro plan.
8. HMRC CIS verification
Subchecked provides a CIS subcontractor verification feature that connects to HMRC's Construction Industry Scheme API via a Government Gateway OAuth2 connection authorised by you.
Important — builder responsibility. Subchecked submits the CIS verification request and displays the result (Gross / Net 20% / Unmatched 30%). Acting on that result is your legal obligation as the contractor, not Subchecked's. If HMRC returns "Unmatched — deduct at 30%", you are legally required to deduct at that rate from any payments to that subcontractor. Subchecked is not responsible for any incorrect deduction decisions you make based on the information provided.
The following conditions apply:
- You authorise Subchecked to make CIS verification calls to HMRC solely for the purpose of checking the deduction status of subcontractors on your projects
- HMRC returns a Verification Number alongside the deduction status — this is stored in the audit log and should be retained for HMRC record-keeping purposes
- HMRC API availability is outside Subchecked's control. If the HMRC API is unavailable, the check will be retried automatically. Subchecked is not liable for delays caused by HMRC service outages
- You may disconnect your Government Gateway account at any time from account settings. Disconnection does not affect previously obtained verification records
9. Insurance Letter of Authority (LoA)
The Insurance Letter of Authority is a document generated by Subchecked based on the insurance details you (as a subcontractor) provided during onboarding. It grants your contractor and Subchecked permission to contact your insurer to verify your policy.
9.1 eIDAS Simple Electronic Signature
The LoA is signed using a finger-draw eIDAS Simple Electronic Signature (SES). The signature record captures your IP address, device identifier, and a timestamp. This constitutes a valid electronic signature under the Electronic Identification and Trust Services (eIDAS) Regulation as retained in UK law.
By signing the LoA, you confirm that:
- The insurance details in the LoA are accurate to the best of your knowledge
- You are the named policyholder or are authorised to act on behalf of the named policyholder
- You consent to your insurer disclosing the relevant policy details to your contractor and to Subchecked
9.2 Sending the LoA
The LoA email is sent by you from your own registered policyholder email address to your insurer, with Subchecked's verification address (verify@subchecked.co.uk) copied. This is the mechanism by which the insurer recognises the request as legitimate. Do not send the LoA from a different email address. Subchecked does not send the LoA on your behalf.
Note on LoA legal review. The LoA wording has been designed to comply with eIDAS SES requirements. A formal legal review by a UK solicitor is pending before production launch. Subchecked will update this section when that review is complete. If you have concerns about the LoA wording, email legal@subchecked.co.uk.
10. Homeowner Compliance Pack
The Homeowner Compliance Pack is a PDF document generated by Subchecked at the request of the builder at the end of a project. It summarises the compliance verification outcomes for all subcontractors on the project.
Disclaimer. The Compliance Pack is a documentation and record-keeping tool. It is not a legal certificate, a guarantee of workmanship quality, or a substitute for professional legal or insurance advice. Subchecked makes no warranty that the Compliance Pack satisfies any specific regulatory, planning, or conveyancing requirement. The builder is responsible for verifying that the pack meets the requirements of any specific third party (such as a solicitor, insurer, or local authority) to whom it is provided.
The Compliance Pack may include:
- CSCS card details and CITB verification status for each subcontractor
- Right to Work check status and method (builder confirmation or Share Code result)
- Asbestos R3 Awareness certificate details
- Insurance verification status (Insurer confirmed / Document accepted / Unconfirmed), including the verification level achieved
- HMRC CIS deduction status and verification number
- Gas Safe or electrical competency check status (where applicable)
- Builder notes (optional)
The insurance status in the Compliance Pack uses a three-tier disclosure model: Insurer confirmed (insurer has responded to the LoA), Document accepted (certificate uploaded and reviewed but insurer has not yet responded), or Unconfirmed (LoA not yet sent or insurer has not responded). This distinction is shown transparently in the pack so that any reader understands the level of verification achieved.
11. Intellectual property
The Subchecked platform, including all software, designs, branding, and content created by Subchecked, is owned by Subchecked ApS and protected by intellectual property laws.
You retain ownership of the personal data and documents you upload to the platform. By uploading documents, you grant Subchecked a limited licence to store, process, and display those documents solely for the purpose of delivering the Service to you and your contractor.
You must not copy, reverse-engineer, scrape, or attempt to extract proprietary data or logic from the platform.
12. Limitation of liability
12.1 No warranty
The Service is provided "as is" and "as available". We do not warrant that the Service will be uninterrupted, error-free, or that any verification result is legally conclusive. External registries (CITB, Gas Safe, HMRC, Companies House) are operated by third parties — we are not responsible for the accuracy or availability of those services.
12.2 Limitation
To the maximum extent permitted by law, Subchecked's total liability to you in connection with the Service — whether in contract, tort (including negligence), statute, or otherwise — is limited to the greater of: (a) the total fees paid by you to Subchecked in the 12 months preceding the claim, or (b) £500.
Subchecked is not liable for any indirect, consequential, incidental, or special loss, including loss of profits, loss of business, reputational damage, or failure to obtain planning permission, regulatory approval, or other third-party consent arising from use of the Service or reliance on its outputs.
12.3 Exceptions
Nothing in these Terms limits or excludes our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any matter where exclusion or limitation of liability is not permitted under applicable law.
12.4 Compliance is your responsibility
Subchecked is a tool to help you manage compliance — it does not replace your legal obligations. You remain solely responsible for ensuring compliance with all applicable law, including employment law, health and safety law, immigration law, tax law, and any sector-specific regulations governing construction work.
13. Termination
13.1 Your right to cancel
Builder accounts: you may close your account at any time by contacting support@subchecked.co.uk. Account deletion removes personal data as described in our Privacy Policy. Active projects and their associated case records cannot be deleted while there are ongoing compliance obligations — contact us to discuss your specific situation.
Subcontractor accounts: self-serve account deletion is available from Account Settings, with a 24-hour cancellation window.
13.2 Our right to suspend or terminate
We may suspend or terminate your access to the Service if we have reasonable grounds to believe you have:
- Breached these Terms (including uploading false documents or using the platform for unlawful purposes)
- Failed to pay fees due
- Acted in a way that creates legal or reputational risk to Subchecked or to other users
We will give reasonable notice before termination unless the breach involves fraud, security risk, or illegal activity.
13.3 Effect of termination
On termination, your right to access the Service ceases. WORM-stored documents are retained in accordance with our Privacy Policy and applicable law. Sections 11, 12, 13, and 14 survive termination.
14. Governing law and disputes
These Terms are governed by the law of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If you have a complaint or dispute with Subchecked, please contact us first at legal@subchecked.co.uk — we aim to resolve disputes informally before any formal proceedings are initiated.
We may amend these Terms from time to time. Registered users will be notified by email of material changes at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
